Katrina Haro has taken a bold step in her pursuit of justice, filing a complaint against several defendants, including One Bridge MSO LLC and Independence Dental Management. The lawsuit was filed on April 22, 2025, in the Circuit Court of the Fifteenth Judicial Circuit in Palm Beach County, Florida. Haro's complaint alleges a series of breaches and misconduct related to her former equity interest in a group of dental offices.

According to the verified complaint, Katrina Haro once held equity in a collection of dental offices that were sold and aggregated into an entity partially owned by One Bridge MSO LLC. As per the Asset Purchase and Contribution Agreement dated June 2, 2023, Haro retained a 25% beneficial interest within the minority ownership stake. However, she claims that no proceeds were distributed to her at closing. Instead, she was issued a Promissory Note with an oral agreement for forgiveness by June 5, 2025—a maneuver allegedly designed to avoid tax implications.

Haro accuses Edward Gelfand and other defendants of attempting to coerce her into converting her equity into stock without consent—effectively stripping away her rights and protections. She asserts that Gelfand acted on behalf of One Bridge MSO LLC to enforce this amendment while Jacob Elefant and Jared Helfant allegedly concealed material information about the sale terms. Robert Klimov is also named for his role in managing the disputed amendment process.

The plaintiff further contends that Independence Dental Management knowingly acquired dental practices tied to her equity interest without acknowledging her ownership claims. When Haro reached out formally regarding these issues, she alleges that Independence Dental Management not only ignored her but also reported her communications back to One Bridge MSO LLC.

In response to these grievances, Haro has outlined multiple causes of action including declaratory relief, injunctive relief for both temporary restraining order (TRO) and permanent injunctions, breach of contract, fraudulent inducement, breach of fiduciary duty, tortious interference with business relations as well as civil conspiracy. Her prayer for relief seeks judicial confirmation of her continued equity interest along with compensatory and punitive damages exceeding $100,000.
