Miss America Competitions sues Robin Fleming for unauthorized asset acquisition and name change

In the Circuit Court of the 15th Judicial Circuit in Palm Beach County, Florida, a lawsuit has been filed by Miss America Competitions, LLC, Miss America IP, LLC, and MAO IP Holding Company, LLC against Robin Fleming and the Miss America Scholarship Foundation, Inc. The case was filed under case number 502024CA003851 XXXAMB Div: Al on April 25th, 2024.

The plaintiffs are all Limited Liability Companies with their principal places of business located in Palm Beach County, Florida. The defendants include Robin Fleming, a resident of Palm Beach County and the Miss America Scholarship Foundation, Inc., a not-for-profit corporation also based in Palm Beach County. This lawsuit seeks damages exceeding $50,000 exclusive of interest, costs and attorney's fees.

The lawsuit alleges that on December 30th, 2022, the plaintiffs entered into an Asset Purchase Agreement (APA) to acquire all assets from the Miss America Organization. However, it is alleged that defendant Robin Fleming took these assets without knowledge or approval from the plaintiffs and changed the name of one of the organizations to Miss America Scholarship Foundation for her personal use and financial benefit.
