Nelson Mullins Riley & Scarborough LLP, a national, full-service with offices from coast to coast, is pleased to announce that Julia Zaft, a seasoned attorney with nearly 10 years of professional legal experience at the forefront of healthcare M&A, has joined the firm’s Boca Raton office and Private Equity team as Of Counsel.

Zaft’s legal practice focuses on the intersection of corporate/M&A and healthcare law. In such capacity, she has represented private equity funds and other institutional investors, serial entrepreneurs, small businesses and their owners (especially physician groups, surgery centers and other healthcare providers), as outside general counsel, as well as buy-side and sell-side deal counsel.

Zaft regularly leads transactions from start to finish, serving as the primary drafter of deal documents and negotiator of deal issues, while managing legal workstreams and guiding clients through the process to a successful closing. She also assists clients with private equity, corporate and securities, and general counsel services.

For years, clients have relied on Zaft as their trusted "go-to" outside general counsel and strategic legal business partner. She works with client-stakeholders and their financial advisors to operationalize desired business objectives, while appropriately balancing implicated healthcare and other laws. This ranges from service agreement negotiations with potential partners, to risk management and overarching compliance support/strategy.

Zaft also advises clients in navigating the highly regulated healthcare industry, including structuring lay investment in healthcare organizations, evaluating the permissibility of provider compensation and ownership arrangements, and restructuring such arrangements as needed to minimize compliance risk.

Zaft graduated cum laude from Washington University School of Law in St. Louis and received her bachelor’s degree from the University of Michigan with highest distinction.
