ORLANDO – A Seminole County woman alleges that she was not fully paid for the transfer for member units.
Teresa Speck filed a complaint on May 26 in the 9th Judicial Circuit Court of Florida - Orange County against Hatalom Systems LLC, Hatalom Corp. and John Hinnant alleging breach of contract, breach of guaranty and fraudulent transfer.
According to the complaint, the plaintiff alleges that on Dec. 31, 2014, she and defendants entered into an interest sale and assignment agreement, wherein the defendants purchased plaintiff’s entire member interests and were required to make monthly payments to her. However, she alleges that the defendants failed to make the January payment and created Hatalom Corp., which provided the identical services as Hatalom Systems LLC, and voluntarily dissolved the latter.
The plaintiff holds Hatalom Systems LLC, Hatalom Corp. and Hinnant responsible because the defendants allegedly breached their obligation to fully pay for plaintiff's member units, and transferred website, contracts and other assets to defraud plaintiff.
The plaintiff requests a trial by jury and seeks judgment in her favor and for damages, costs and attorney’s fees and for such other relief deemed just and proper. She is represented by John R. Samaan of John R. Samaan PA in Orlando.
