Seven Brand Inc., majority shareholder accused of breaching contract

ORLANDO — An individual is suing Seven Brand Inc. and James Stewart for alleged breach of contract, breach of duty, fraud and negligent misrepresentation.

Tomas Rios filed a complaint on July 24 in the Orange County Circuit Court, alleging that the defendants breached their duty of good faith and fair dealing.

According to the complaint, the plaintiff alleges that he suffered monetary damages from defendants' refusal to provide him with his ownership interest as allegedly agreed upon in exchange for the plaintiff's completion of one year as CEO. 

The plaintiff holds the defendants responsible for allegedly refusing to provide him the equity ownership as promised, and for allegedly forcing him to retain an attorney to protect his interests.

The plaintiff requests a trial by jury and seeks judgment against the defendants for damages, award 10 percent of the outstanding shares of stock, interest, attorneys’ fees, costs and any further relief the court may deem just. He is represented by James S. Toscano and Brian C. Lawrence of Lowndes, Drosdick, Doster, Kantor & Reed PA in Orlando.
