Business sues former attorneys for representing former CEO as he starts competitor company

TAMPA -- A technology company is suing former attorneys for representing its former CEO upon departure to start a competing company. 

Intezyne Technologies, Inc. filed a complaint on September 3 in the Circuit Court of the Thirteenth Judicial Circuit in and for Hillsborough County, Florida against Dechert LLP, Andrea Reid, and Thomas Rayski for breach of fiduciary duty and legal malpractice. 

According to the complaint, Dechert LLP, Andrea Reid, and Thomas Rayski served as Intezyne Technologies' attorneys for years and provided extensive legal advice regarding its intellectual property, general corporate and employment matters, and the contentious departure of its former CEO Kevin Sill. 

Unknowingly to Intezyne Technologies, in January 2019, the defendants began assisting Sill with a a new business venture, Tyndall Formulation Services, LLC, which like Intezyne, specializes in developing new drug delivery technologies and applications for poorly water-soluble drugs, with an emphasis on oncology. 

Defendants’ representation of Sill and Tyndall constituted a conflict of interest to Intezyne, their existing client, the suit claims. Defendants helped Tyndall poach a key Intezyne employee, a potential customer, contract with a key Intezyne supplier, and provided Tyndall with advice regarding its intellectual property strategy, the suit claims.
